1. Who these terms apply to
These terms apply to freelance design, research, and related services provided by Michel van der Wal, operating from the Netherlands, unless a signed statement of work says otherwise.
2. Scope of work
The scope, timeline, and fee are agreed in writing before work starts. Work outside that scope is quoted separately. Estimates are not a guarantee of a fixed outcome unless explicitly agreed as a fixed fee.
3. Fees and payment
Invoices are payable within 14 days unless agreed otherwise. Work may be paused if invoices remain unpaid. Travel and third-party costs are billed as agreed in advance.
4. Client responsibilities
You provide timely feedback, access, and materials needed to do the work. Delays in feedback may shift the schedule.
5. Intellectual property
Until invoices for a deliverable are paid in full, IP in that deliverable stays with Michel van der Wal. After payment, you receive a licence to use the agreed deliverables for the intended purpose. Pre-existing tools, methods, and unused concepts remain mine. Portfolio use of non-confidential work is permitted unless you ask otherwise in writing.
6. Confidentiality
Both sides keep confidential information private, except where disclosure is required by law or already public.
7. Liability
Liability is limited to the fees paid for the assignment that gave rise to the claim, and excludes indirect or consequential loss, to the extent allowed by Dutch law.
8. Cancellation
Either party may end an assignment in writing. Work completed to that point is invoiced. Deposits are non-refundable once work has started.
9. Governing law
These terms are governed by Dutch law. Disputes are submitted to the competent court in the Netherlands.
